Organizer Agreement

This Organizer Agreement (“Agreement”) is between you and the organization or business you represent (“Organizer,” “you,” or “your”) and Tula Web Design LLC, operating the platform BailaEvents at bailaevents.com (“BailaEvents,” “we,” “our,” or “us”). This Agreement governs your use of BailaEvents' event-creation, ticketing, and payment services (“Organizer Services”) and supplements — but does not replace — our general Privacy Policy and Terms of Service, which continue to apply to your use of the platform as a user. If there is a conflict between this Agreement and the general Terms of Service regarding Organizer Services, this Agreement controls.
By checking the acceptance box during account or event-organizer setup, clicking “Create Profile,” or otherwise using the Organizer Services, you accept this Agreement on behalf of yourself and the Organizer you represent, and you confirm you have authority to do so.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to register as an Organizer. You must provide accurate, current, and complete information about yourself and your organization, including a valid contact email and, where applicable, business and tax information requested through Stripe Connect onboarding. You are responsible for keeping this information up to date.
2. Organizer Services
BailaEvents provides tools that allow you to:
- Create and publish events, event instances, and ticket types;
- Sell tickets and passes to attendees, including via guest checkout;
- Process payments and receive payouts through Stripe Connect;
- Manage check-in, attendance, and reporting for your events; and
- Communicate with attendees regarding their purchases.
BailaEvents acts solely as a technology platform connecting you with attendees and with our payment processor, Stripe. We are not a party to, and assume no responsibility for, the underlying transaction between you and your attendees beyond facilitating payment and ticket delivery as described in this Agreement.
3. Your Responsibilities as an Organizer
You are solely responsible for:
- The accuracy, legality, and completeness of all event listings, including dates, times, locations, pricing, age restrictions, and any required disclosures;
- Obtaining all licenses, permits, and insurance required to host your event;
- Producing, operating, and (if applicable) canceling or rescheduling your event;
- Setting and honoring your refund and cancellation policy, as configured in your organizer dashboard;
- Responding to attendee inquiries related to your event; and
- Complying with all applicable federal, state, and local laws, including those relating to public health, safety, accessibility, and consumer protection.
4. Platform Fees
BailaEvents charges platform fees for use of the Organizer Services. The applicable fee structure for each ticket type — including any flat fee, percentage-based fee, and whether the fee is absorbed by you or passed to the attendee — is configured and disclosed in your organizer dashboard at the time you create or edit a ticket, and is shown to attendees before checkout. Platform fees are non-refundable once a ticket sale is completed, except where required by law or as BailaEvents determines in its sole discretion (e.g., a duplicate or erroneous charge). We may update our fee structure from time to time; changes will apply to tickets created or sold after the change takes effect and will be reflected in your dashboard.
5. Payment Processing & Payouts
- All payments are processed through Stripe via Stripe Connect. To receive payouts, you must complete Stripe's account registration (KYC) requirements and agree to the Stripe Connected Account Agreement.
- Payouts of your net ticket sales (gross sales less platform fees, processing fees, and any amounts described in this Agreement) are made to the bank account connected to your Stripe account, on the schedule shown in your dashboard.
- BailaEvents may delay, withhold, or reverse a payout if we reasonably believe a transaction is fraudulent, disputed, in violation of this Agreement, or the subject of a chargeback, refund, or regulatory inquiry.
- You are responsible for the accuracy of your bank and tax information provided to Stripe. We are not responsible for delayed or misdirected payouts caused by inaccurate information you provided.
6. Refunds, Cancellations & Chargebacks
- You must maintain a refund policy and configure it accurately in your organizer dashboard. Your stated policy will be shown to attendees before purchase.
- If you cancel, postpone, or materially change an event, you are responsible for notifying attendees and for issuing refunds consistent with your stated policy and applicable law, regardless of whether platform fees have already been disbursed to you.
- If an attendee disputes a charge with their bank or card issuer (a “chargeback”), or if BailaEvents issues a refund on your behalf, BailaEvents may recover the disputed amount — including any associated chargeback or dispute fees — from your future payouts, your connected Stripe balance, or by invoicing you directly.
- Repeated or excessive chargebacks, disputes, or refund requests may result in suspension of your ability to sell tickets, additional reserves being held against future payouts, or termination of this Agreement.
7. Taxes
You are solely responsible for determining whether taxes (including amusement, sales, or other local taxes) apply to your events, for configuring the correct tax settings for each event, and for remitting any taxes you collect or owe to the appropriate authorities. Tax exemptions made available in your organizer dashboard (such as cultural-performance or small-venue exemptions) are provided as convenience tools only and require your own attestation that your event qualifies. BailaEvents does not provide tax advice, and you should consult a qualified tax professional regarding your obligations. Where required by law, BailaEvents or Stripe may report payout information to tax authorities (e.g., Form 1099-K) based on the taxpayer information you provide.
8. Content & License
You retain ownership of the text, images, logos, and other content you submit for your events (“Organizer Content”). By submitting Organizer Content, you grant BailaEvents a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute that content for the purpose of operating, promoting, and improving the platform — including listing your event on public event pages, in search results, and in promotional emails or social media posts. You represent that you own or have the necessary rights to submit the Organizer Content and that it does not infringe any third party's intellectual property or other rights.
9. Prohibited Conduct
In connection with the Organizer Services, you must not:
- List events that are fraudulent, illegal, or misrepresent what attendees will receive;
- Use the platform to sell anything other than legitimate event tickets, passes, or registrations;
- Attempt to circumvent platform fees by directing attendees to pay outside of BailaEvents for an event listed on the platform;
- Use attendee data obtained through the platform for purposes other than communicating about the event for which they registered, or in violation of our Privacy Policy; or
- Interfere with, scrape, or attempt unauthorized access to the platform or other users' accounts.
10. Representations & Warranties
You represent and warrant that:
- You have the legal authority and right to host the events you list and to enter into this Agreement on behalf of the Organizer;
- The information you provide to BailaEvents and Stripe is true, accurate, and not misleading; and
- Your events and Organizer Content comply with all applicable laws and do not infringe the rights of any third party.
11. Indemnification
You agree to defend, indemnify, and hold harmless Tula Web Design LLC, BailaEvents, and our officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your events, Organizer Content, or Organizer Services; (b) your breach of this Agreement or any applicable law; (c) disputes between you and an attendee, including refund or cancellation disputes; or (d) your violation of any third party's rights.
12. Disclaimers
THE ORGANIZER SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY PARTICULAR LEVEL OF TICKET SALES, ATTENDANCE, OR REVENUE WILL RESULT FROM USE OF THE ORGANIZER SERVICES.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TULA WEB DESIGN LLC'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE ORGANIZER SERVICES WILL NOT EXCEED THE TOTAL PLATFORM FEES PAID BY OR ON BEHALF OF YOUR ORGANIZER ACCOUNT IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT WILL TULA WEB DESIGN LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THIS AGREEMENT LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
14. Suspension & Termination
- You may stop using the Organizer Services at any time. Outstanding obligations (including refunds, chargebacks, and fees owed) survive any such cessation.
- We may suspend or terminate your access to the Organizer Services, with or without notice, if we reasonably believe you have violated this Agreement, applicable law, or the Stripe Connected Account Agreement, or if your use poses a risk to BailaEvents, attendees, or other organizers.
- Upon termination, you remain responsible for fulfilling obligations to attendees for events already sold (including refunds, where applicable), and BailaEvents may continue to hold reserves or recover amounts described in Sections 5 and 6 for a reasonable period after termination.
15. Changes to this Agreement
We may update this Agreement from time to time. If we make material changes, we will notify you (e.g., by email or an in-app notice) and may require you to accept the updated Agreement before continuing to use the Organizer Services. The “Version” and “Effective Date” at the top of this page reflect the current version. Continued use of the Organizer Services after an update takes effect constitutes acceptance of the updated Agreement.
16. Governing Law & Dispute Resolution
This Agreement is governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles.
Agreement to Arbitrate. You and Tula Web Design LLC agree that any dispute, claim, or controversy arising out of or relating to this Agreement or the Organizer Services will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, rather than in court, except that either party may bring an individual action in small claims court for disputes within that court's jurisdiction. The arbitration will be held in Cook County, Illinois, or another mutually agreed location, or may be conducted remotely where permitted by the AAA rules.
Class Action Waiver. You and Tula Web Design LLC agree that any proceedings to resolve disputes will be conducted only on an individual basis and not in a class, consolidated, or representative action.
Opt-Out. You may opt out of this arbitration agreement by sending written notice to support@bailaevents.com within 30 days of first accepting this Agreement. If you opt out, disputes will instead be resolved exclusively in the state or federal courts located in Cook County, Illinois, and you and Tula Web Design LLC each consent to the personal jurisdiction of those courts.
17. Miscellaneous
- Entire Agreement. This Agreement, together with our Terms of Service and Privacy Policy and any Stripe agreements you accept, constitutes the entire agreement between you and BailaEvents regarding Organizer Services.
- Severability. If any provision of this Agreement is found unenforceable, the remaining provisions remain in full effect.
- Assignment. You may not assign this Agreement without our written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of assets.
- No Waiver. Our failure to enforce any provision of this Agreement is not a waiver of our right to do so later.
